Welcome to Wylio.
These Terms & Conditions (“Terms”, “Terms of Service or “Agreement”) govern your access to and use of Wylio, including the Wylio website, web application, dashboards, APIs, communication infrastructure, automation systems, customer engagement tools, CPaaS functionality, integrations, software, SmartFlows, campaigns, analytics, CRM functionality, AI functionality, billing systems, wallet systems, and related products and services.
For purposes of these Terms, all of the above are collectively referred to as the “Services”.
By accessing, registering for, activating, purchasing, subscribing to, connecting an account to, or using the Services, you acknowledge that you have read, understood, and agreed to these Terms.
If you do not agree to these Terms, you must not access or use the Services.
- BUSINESS INFORMATION
Wylio is a proprietorship business operated under the laws of India.
Wylio provides technology, software, SaaS, CPaaS, communication, automation, customer engagement, business-growth, analytics and infrastructure services to businesses, organizations and other authorized commercial users.
Wylio may provide Services through:
- Wylio web applications;
- SaaS applications;
- CPaaS infrastructure;
- APIs;
- dashboards;
- communication platforms;
- automation systems;
- integrations;
- third-party platforms;
- messaging providers;
- cloud infrastructure;
- AI providers;
- payment providers; and
- other technology infrastructure.

- BUSINESS-ONLY USE AND ACCEPTANCE OF TERMS
Wylio is a business-oriented technology platform.
The Services are intended primarily for use by:
- businesses;
- companies;
- startups;
- organizations;
- agencies;
- institutions;
- proprietorships;
- partnerships;
- LLPs;
- corporations;
- registered entities;
- commercial operators; and
- authorized representatives acting on behalf of such entities.
By accessing or using Wylio, you represent and confirm that:
- You are using Wylio for legitimate business, organizational or professional purposes.
- You have authority to enter into these Terms on behalf of the business or organization you represent, where applicable.
- You have read and understood these Terms.
- You agree to be legally bound by these Terms.
- Information supplied to Wylio is accurate and current.
- You will comply with applicable laws and regulations.
- You will comply with applicable third-party platform policies.
- You will use the Services only for lawful and legitimate business purposes.
The Services are not intended to be used as a consumer social networking service or as a general personal-use communication application.
If you use Wylio on behalf of a company, organization, business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
The entity or business represented by you will be responsible for the activities performed through its Wylio account.
- DESCRIPTION OF WYLIO SERVICES
Wylio is a business growth, communication, automation and customer engagement platform.
Depending on the Services available to your account, Wylio may provide:
- WhatsApp Business communication;
- WhatsApp Business Platform integrations;
- customer conversations;
- shared team inboxes;
- campaigns;
- broadcasts;
- message templates;
- contacts;
- customer and lead management;
- CRM functionality;
- AI automation;
- SmartFlows;
- interactive customer journeys;
- workflow automation;
- analytics;
- reporting;
- team collaboration;
- billing;
- wallet management;
- SMS;
- RCS;
- Email;
- Instagram communication;
- Facebook communication;
- Web Chat;
- AI Voice Calling;
- advertising integrations;
- lead-generation integrations;
- Meta integrations;
- Google integrations;
- third-party integrations;
- APIs;
- webhooks;
- developer services; and
- other services introduced by Wylio from time to time.
Wylio may add, modify, improve, restrict, suspend, replace or discontinue features.
Availability of a particular feature may depend on:
- your account;
- your commercial model;
- geographic location;
- third-party availability;
- technical requirements;
- regulatory requirements;
- platform policies;
- API availability;
- account eligibility; or
- other operational requirements.
- WYLIO AS A TECHNOLOGY AND CPaaS PROVIDER
Wylio provides technology infrastructure that enables businesses to communicate with customers, automate business processes and manage customer interactions.
Wylio may function as a SaaS and/or CPaaS technology provider.
Wylio does not determine:
- which customers you communicate with;
- what your business sells;
- what messages you send;
- what offers you make;
- what data you collect;
- whether you have obtained appropriate consent;
- whether your communication is legally permissible; or
- whether your business activities comply with applicable laws.
You remain responsible for your use of the Services.
Wylio does not become the seller, provider, advertiser or merchant of your products or services merely because you use Wylio to communicate with your customers.
- ACCOUNT REGISTRATION AND SECURITY
Certain Services require a Wylio account.
You agree to:
- provide accurate information;
- maintain accurate account information;
- protect login credentials;
- protect API keys;
- protect access tokens;
- protect connected communication accounts;
- maintain appropriate user permissions;
- notify Wylio of unauthorized access;
- prevent unauthorized use;
- not share credentials irresponsibly;
- not create fraudulent accounts; and
- not use another business’s account without authorization.
You are responsible for activities performed through your account unless directly caused by Wylio’s unauthorized access resulting from Wylio’s proven security failure.
Wylio may restrict or suspend an account where reasonably necessary to protect:
- Wylio;
- other customers;
- third-party platforms;
- customer data;
- communication infrastructure;
- payment systems;
- APIs; or
- the public.
- WYLIO COMMERCIAL MODELS
Wylio may provide different commercial models.
These may include:
- Pay As You Go
- Founder Model
- Enterprise Model
- Other commercial arrangements introduced by Wylio.
The commercial model applicable to a customer will be determined by the applicable purchase, order, commercial offer, dashboard or written agreement.
- PAY AS YOU GO MODEL
The Pay As You Go (“PAYG”) Model is Wylio’s usage-based commercial model.
To activate Wylio under PAYG:
₹1,000 Activation Amount → ₹1,000 Wylio Wallet Credit
The ₹1,000 activation amount is not a setup fee.
Subject to successful payment and account activation, the full ₹1,000 amount is credited to the customer’s Wylio Wallet.
The Wylio Wallet may then be used for applicable Wylio platform charges.
Under the current PAYG pricing:
Wylio platform charge: ₹0.07 / 7 paise per delivered template message.
The applicable Wylio platform charge is deducted from the Wylio Wallet according to Wylio’s billing records.
The customer is responsible for maintaining sufficient wallet balance for chargeable Services.
- WYLIO WALLET
The Wylio Wallet is an internal balance maintained within the Wylio platform and is used for applicable Wylio platform charges associated with the Services.
The Wylio Wallet does not constitute a bank account, deposit account, payment account, financial account, or general-purpose stored-value account.
8.1 Wallet Activation and Recharge
When a customer activates the Wylio Pay As You Go model:
₹1,000 Activation Amount → ₹1,000 Wylio Wallet Credit
The ₹1,000 activation amount is not a setup fee. Subject to successful payment and account activation, the corresponding amount is credited to the customer’s Wylio Wallet.
The Wallet may subsequently be recharged by the business/customer through payment methods made available by Wylio.
8.2 Minimum Wallet Recharge Amount
The minimum Wallet recharge amount currently applicable is ₹1,000.
Wylio may change the minimum recharge amount in the future based on its commercial, operational, technical, billing, or business requirements.
For example, Wylio may reduce the minimum recharge amount from ₹1,000 to ₹100, or establish another minimum amount.
Where Wylio changes the minimum recharge requirement, the applicable change may be communicated to businesses through reasonable channels, which may include:
- the Wylio application;
- customer dashboard;
- pricing or billing interface;
- website;
- email;
- account notification;
- commercial communication; or
- other reasonable means.
The revised minimum recharge amount will apply to future Wallet additions after the effective date communicated by Wylio.
8.3 Permitted Use of Wallet Balance
The Wylio Wallet is specifically intended for payment of eligible Wylio platform charges.
The Wallet balance may be used for applicable Wylio charges, including the applicable Wylio platform messaging charge.
Under the current PAYG model:
₹0.07 / 7 paise per delivered template message
may be deducted from the Wylio Wallet as the applicable Wylio platform charge.
The applicable charge will be calculated and recorded according to Wylio’s billing and usage records.
8.4 Wallet Balance Cannot Be Used for Separate Third-Party Communication Charges
A Wylio Wallet balance is not a general-purpose communication wallet.
Amounts added to the Wylio Wallet cannot be used to directly pay, settle, offset, merge, or transfer against separate third-party communication charges, unless Wylio expressly introduces and communicates such functionality in the future.
This includes, without limitation, charges imposed separately by:
- Meta;
- WhatsApp;
- SMS providers;
- RCS providers;
- Email providers;
- telecommunications providers;
- Instagram;
- Facebook;
- advertising platforms;
- AI providers;
- voice providers;
- payment providers; or
- other third-party communication or technology providers.
For example, a business’s Wylio Wallet balance cannot be requested to be:
combined with, transferred to, or applied against Meta/WhatsApp billing.
Similarly, a Wallet balance cannot be requested to be transferred or applied toward a separate SMS, RCS, Email, Voice, advertising, AI, or other third-party communication invoice.
Where third-party charges apply, those charges remain separate from the Wylio Wallet and may be billed, collected, or settled through the applicable third-party billing mechanism.
8.5 Wallet Balance Is Not Transferable or Redeemable as General Cash
Wallet balances are maintained for use within the Wylio Services.
A business/customer may use its Wallet balance for eligible Wylio charges, but the Wallet balance:
- may not be requested to be converted into general-purpose cash;
- may not be requested to be transferred to a bank account;
- may not be requested to be applied to unrelated third-party invoices;
- may not be requested to be transferred into Meta/WhatsApp billing;
- may not be requested to be transferred into another communication provider’s billing account; and
- may not be used as a general-purpose payment method.
Wylio may, at its discretion and subject to applicable law, introduce additional Wallet functionality in the future.
8.6 No Refund of Amounts Added to Wylio Wallet
Once a business/customer adds or recharges an amount into the Wylio Wallet, the business/customer cannot subsequently request a refund, withdrawal, cash redemption, or reversal of that Wallet recharge amount, except where a refund is expressly required under applicable law or expressly approved by Wylio under its Refund Policy.
The customer acknowledges that Wallet funds are added for the purpose of using eligible Wylio Services and Wylio platform charges.
Accordingly, a customer should add/recharge only an amount that it reasonably expects to use for Wylio Services.
The addition of funds to the Wylio Wallet does not create an entitlement to:
- cash withdrawal;
- bank transfer;
- wallet-to-wallet transfer;
- transfer to Meta;
- transfer to WhatsApp;
- transfer to another communication provider;
- application toward unrelated bills; or
- general-purpose reimbursement.
Applicable refund rights, if any, are governed by Wylio’s Refund Policy and mandatory applicable law.
8.7 Wallet Balance Cannot Be Merged With Other Billing
A Wylio Wallet balance is maintained separately from third-party billing accounts and invoices.
A customer cannot require Wylio to:
- merge Wallet funds with Meta billing;
- offset Meta charges using Wallet funds;
- transfer Wallet funds to WhatsApp;
- use Wallet funds to settle SMS provider invoices;
- use Wallet funds to settle RCS provider invoices;
- use Wallet funds to settle Email provider invoices;
- use Wallet funds to settle Voice provider invoices;
- use Wallet funds to settle advertising platform invoices;
- use Wallet funds to settle AI provider invoices; or
- otherwise convert Wallet funds into payment for separate third-party services.
The separation of Wylio Wallet funds from third-party billing remains applicable even where Wylio provides an integration with the relevant third-party service.
8.8 Wallet Transactions and Billing Records
Wylio may maintain records of:
- Wallet additions;
- Wallet deductions;
- applicable platform charges;
- adjustments;
- promotional credits;
- refunds or reversals where applicable;
- transaction references;
- usage records; and
- other Wallet activity.
Wylio’s records will be used to determine Wallet activity and applicable Wylio platform charges, subject to correction of demonstrable errors.
8.9 Future Wallet Changes
Wylio may modify the Wallet’s:
- minimum recharge amount;
- eligible uses;
- recharge mechanisms;
- billing methodology;
- deduction mechanisms;
- transaction limits;
- promotional-credit rules; or
- other operational rules.
Where material changes affect businesses, Wylio may provide reasonable notice through the Wylio application, dashboard, website, email, account notification, commercial communication, or another reasonable method.
For avoidance of doubt, the current minimum Wallet recharge amount is ₹1,000, but Wylio may reduce this amount to ₹100 or another amount in the future.
Any such future change will apply according to the effective date and conditions communicated by Wylio.
8.10 Separate Treatment of Wylio and Third-Party Charges
For clarity:
Wylio Wallet → Wylio platform charges
and
Third-party billing → applicable third-party communication/platform charges
These are separate billing components.
Unless Wylio expressly states otherwise in writing, adding money to the Wylio Wallet does not prepay, settle, reduce, credit, or satisfy any separate third-party communication charges.
This distinction applies to Meta/WhatsApp as well as other communication channels and third-party providers.
One wording change I strongly recommend
Instead of saying simply “wallet balances cannot be transferred”, the upgraded section above makes the distinction:
The business is permitted to use/recharge the Wallet, but the Wallet is expressly restricted to its intended Wylio billing purpose.
That is much clearer contractually than the previous wording and directly establishes the important accounting separation:
₹1,000 added → ₹1,000 Wylio Wallet → Wylio charges deducted from it → Meta/WhatsApp/other channel charges remain separate.
This also preserves your ability to later change the minimum recharge from ₹1,000 → ₹100 without having to rewrite the entire Terms, provided the change is properly communicated and legally permissible.
- THIRD-PARTY COMMUNICATION AND PLATFORM CHARGES
Wylio platform charges and third-party communication charges are separate.
The Wylio Wallet is used for applicable Wylio platform charges.
Third-party charges may include charges imposed by:
- Meta;
- WhatsApp;
- telecommunications providers;
- SMS providers;
- RCS providers;
- email providers;
- social media platforms;
- advertising platforms;
- AI providers;
- cloud providers;
- payment providers; and
- other third-party service providers.
Such charges may be billed separately from Wylio’s platform charge.
Accordingly, the customer’s total communication cost may consist of:
Wylio platform charge + applicable third-party communication/platform charges
Third-party charges are not controlled by Wylio.
Third parties may independently change:
- pricing;
- billing models;
- message categories;
- eligibility;
- taxes;
- account requirements;
- rate limits;
- API requirements;
- policies; or
- other commercial conditions.
- WHATSAPP BUSINESS PLATFORM AND META SERVICES
This section applies specifically to Wylio’s WhatsApp Business Platform integrations and related Meta services.
Wylio may enable businesses to connect and use WhatsApp Business Platform functionality through Wylio’s technology.
WhatsApp Business Platform services are provided and controlled by Meta and/or its applicable entities and systems, and use of such services is subject to the applicable Meta and WhatsApp terms, policies, technical requirements and eligibility requirements.
Wylio does not own or control WhatsApp.
Wylio is not affiliated with, owned by, or controlled by Meta Platforms, Inc. or WhatsApp unless expressly stated in a separate written agreement.
10.1 WhatsApp Business Account
Where required, the customer may need to connect or create a WhatsApp Business Account, WhatsApp Business Platform account, business portfolio, phone number or other Meta-managed business asset.
The customer is responsible for:
- providing accurate business information;
- maintaining ownership or authorization over connected business assets;
- maintaining access to the relevant Meta account;
- completing required verification;
- providing accurate business details;
- complying with Meta requirements;
- maintaining the connected phone number;
- maintaining appropriate business information; and
- completing any Meta-required onboarding or verification.
Wylio does not guarantee that Meta will approve a particular business, phone number, business portfolio, WhatsApp Business Account or communication use case.
10.2 WhatsApp API Access
Wylio may provide technical infrastructure through which customers interact with WhatsApp Business Platform APIs.
API functionality may include:
- sending messages;
- receiving messages;
- message templates;
- media;
- interactive messages;
- customer conversations;
- webhooks;
- automation;
- SmartFlows;
- campaign functionality;
- analytics;
- delivery information; and
- other WhatsApp-supported capabilities.
The actual functionality available to a customer is subject to:
- Meta API availability;
- Meta policies;
- WhatsApp policies;
- account eligibility;
- technical limitations;
- API versions;
- approved message types;
- template approval;
- phone-number status;
- business verification;
- quality or account status; and
- other third-party requirements.
10.3 WhatsApp Template Messages
Customers are responsible for the content and intended use of their WhatsApp message templates.
Templates may be subject to review, approval, rejection, modification or restriction by Meta.
Wylio does not guarantee that a template submitted through Wylio will be:
- approved;
- approved immediately;
- approved permanently;
- delivered;
- categorized in a particular manner; or
- available indefinitely.
Meta may independently change template requirements, categories, review procedures or messaging policies.
A template approved at one point may subsequently become restricted, rejected, paused or otherwise affected by changes in third-party policy.
10.4 WhatsApp Customer Consent and Opt-In
The customer is solely responsible for ensuring that it has an appropriate lawful basis and, where required, valid consent or opt-in before communicating with recipients.
Customers must not upload, import, purchase or use contact lists that were unlawfully obtained.
The customer must maintain appropriate records relating to:
- consent;
- opt-in;
- communication permissions;
- opt-out;
- customer requests;
- business purpose; and
- other legally required records.
Wylio may provide technical tools for managing consent, contacts or communication preferences, but such tools do not transfer the customer’s legal responsibility to Wylio.
10.5 WhatsApp Messaging Rules
Customers must comply with all applicable WhatsApp and Meta requirements.
Customers must not use Wylio to:
- send spam;
- send deceptive messages;
- send unsolicited communications;
- harass recipients;
- circumvent platform restrictions;
- manipulate platform systems;
- evade enforcement;
- send prohibited content;
- distribute unlawful content;
- abuse automation;
- misuse templates;
- artificially manipulate engagement; or
- otherwise violate applicable Meta or WhatsApp policies.
Wylio may restrict or suspend WhatsApp functionality where reasonably necessary because of suspected abuse, policy violations, security concerns, legal requirements or third-party restrictions.
10.6 WhatsApp Delivery
Wylio does not guarantee that every WhatsApp message will be delivered.
Delivery may be affected by:
- recipient availability;
- recipient settings;
- invalid phone numbers;
- blocked businesses;
- WhatsApp restrictions;
- Meta enforcement;
- template status;
- account status;
- rate limits;
- infrastructure;
- network conditions;
- API failures;
- third-party outages; or
- other circumstances outside Wylio’s reasonable control.
A “delivered” status is determined using available platform and communication-provider information.
Wylio’s billing records may rely on delivery information made available by the applicable communication infrastructure.
10.7 Meta/WhatsApp Charges
Meta/WhatsApp communication charges are separate from Wylio’s platform charges.
Wylio’s current platform charge does not represent or include Meta’s communication fees unless expressly stated otherwise.
Where applicable:
Wylio Wallet deduction = Wylio platform charge
and:
Meta/WhatsApp charges = separate third-party charge
Meta may determine and modify its own pricing and billing rules.
Customers agree that changes in Meta pricing may affect their overall communication cost without constituting a change to Wylio’s own platform charge.
10.8 Meta Policy Changes
Meta may modify:
- APIs;
- API versions;
- pricing;
- template rules;
- messaging rules;
- account requirements;
- business verification;
- quality requirements;
- rate limits;
- eligibility;
- enforcement;
- technical functionality; or
- availability.
Wylio may need to modify its Services in response to such changes.
Wylio will use commercially reasonable efforts to maintain compatibility where practical but does not guarantee continued compatibility with every third-party feature or API.
10.9 WhatsApp Account Suspension or Restriction
A customer’s WhatsApp or Meta account may be:
- restricted;
- suspended;
- disabled;
- rate-limited;
- reviewed;
- terminated; or
- otherwise affected by Meta.
Such action may occur independently of Wylio.
Wylio is not responsible for a Meta decision to restrict or terminate a customer’s account where that decision is made by Meta or another third party.
Wylio may assist with reasonable technical information where available, but cannot guarantee restoration of a third-party account.
- OTHER COMMUNICATION CHANNELS
Wylio may support channels including:
- SMS;
- RCS;
- Email;
- Instagram;
- Facebook;
- Web Chat;
- Voice;
- AI Voice;
- advertising platforms; and
- other communication channels.
Each channel may be subject to its own:
- provider;
- pricing;
- policies;
- regulations;
- delivery requirements;
- consent requirements;
- technical restrictions; and
- availability.
Customers are responsible for complying with the requirements applicable to each channel they use.
- FOUNDER MODEL
Wylio may offer a limited Founder Model to qualifying businesses.
The Founder Model is currently intended for up to the first 250 eligible customers/businesses.
Founder availability may depend on:
- remaining allocation;
- eligibility;
- successful registration;
- successful payment;
- applicable commercial terms;
- acceptance by Wylio; and
- other conditions communicated to the customer.
Wylio may close the Founder Model once the available allocation has been exhausted.
The exact commercial benefits, pricing, usage terms or discounts applicable to Founder customers will be determined by the specific commercial offer accepted by the customer.
Unless expressly stated otherwise in that commercial offer:
Third-party communication charges remain separate.
Founder status does not provide immunity from:
- applicable laws;
- Meta policies;
- WhatsApp policies;
- third-party restrictions;
- Wylio security requirements; or
- these Terms.
- ENTERPRISE MODEL
Wylio may provide customized Enterprise arrangements for businesses with requirements such as:
- high-volume communication;
- multiple workspaces;
- large teams;
- advanced integrations;
- security requirements;
- custom infrastructure;
- dedicated support;
- custom development;
- contractual requirements;
- enterprise onboarding;
- custom billing; or
- other enterprise requirements.
The Enterprise Model is available only upon request and subject to Wylio’s approval.
Enterprise customers may enter into:
- order forms;
- commercial agreements;
- master service agreements;
- service agreements;
- statements of work; or
- other written agreements.
If an Enterprise agreement conflicts with these Terms, the Enterprise agreement will control to the extent expressly stated.
- CAMPAIGNS AND BROADCASTS
Wylio may provide campaign and broadcast functionality.
Customers are solely responsible for:
- campaign content;
- recipient selection;
- recipient permissions;
- campaign timing;
- targeting;
- offers;
- claims;
- compliance;
- frequency of communication; and
- opt-out handling.
Wylio does not guarantee campaign performance, conversion, revenue, delivery or engagement.
- AUTOMATION AND SMARTFLOWS
Wylio may provide automation functionality including SmartFlows and interactive customer journeys.
Automation may perform actions based on:
- customer responses;
- conditions;
- events;
- schedules;
- API responses;
- CRM information;
- business rules;
- AI-generated decisions; or
- other configured triggers.
You are responsible for reviewing and configuring automation appropriately.
You acknowledge that automated systems may perform actions without individual human review where you have configured them to do so.
You are responsible for:
- automation logic;
- conditions;
- actions;
- recipients;
- messages;
- business rules;
- data;
- permissions; and
- resulting business activity.
Wylio does not guarantee that an automation will produce a particular commercial result.
- AI FEATURES
Wylio may provide AI-powered functionality.
AI features may generate:
- text;
- responses;
- classifications;
- recommendations;
- automation decisions;
- summaries;
- customer-support responses;
- campaign content; or
- other outputs.
AI-generated outputs may be inaccurate, incomplete, outdated, inappropriate or unsuitable for a particular situation.
You remain responsible for reviewing AI functionality and configuring appropriate safeguards.
You must not rely on Wylio AI as a substitute for professional legal, financial, medical, regulatory or other professional advice.
Where AI is permitted to take automated actions, you remain responsible for those actions.
- CRM, CONTACTS AND CUSTOMER DATA
Customers may upload, import, create, store or process business contacts and customer information through Wylio.
You retain ownership of your customer data, subject to the rights necessary for Wylio to provide the Services.
You are responsible for ensuring that you have the right to:
- collect;
- store;
- process;
- upload;
- transfer; and
- use such information.
You must not use Wylio to process unlawfully obtained personal information.
- USER DATA AND CONTENT
You retain ownership of content and information submitted to Wylio.
You grant Wylio the limited rights necessary to:
- host data;
- process data;
- transmit data;
- display data within your account;
- process communications;
- execute automations;
- operate integrations;
- generate analytics;
- maintain security;
- troubleshoot issues;
- provide support;
- maintain and improve reliability; and
- provide the Services.
Wylio will process personal information in accordance with its Privacy Policy and applicable law.
- DATA PROTECTION AND PRIVACY
Your use of Wylio is subject to the Wylio Privacy Policy.
You are responsible for ensuring that your collection and use of customer information through Wylio is lawful.
Where applicable, you should provide appropriate privacy notices and obtain required permissions.
You must not use Wylio to collect or process personal information in violation of applicable law.
- CONSENT, OPT-OUT AND ANTI-SPAM
Customers are responsible for ensuring that communications sent through Wylio are legally permissible.
You must not use Wylio to:
- send spam;
- send unsolicited bulk communications;
- harass customers;
- repeatedly contact users who have opted out;
- purchase unlawfully obtained lists;
- scrape contact information unlawfully;

Where applicable, customers must honor:
- opt-outs;
- unsubscribe requests;
- communication preferences;
- do-not-contact requests; and
- other legally required restrictions.
- PROHIBITED ACTIVITIES
You may not use Wylio to:
- violate applicable law;
- commit fraud;
- conduct phishing;
- impersonate another business;
- distribute malware;
- attempt unauthorized access;
- compromise systems;
- reverse engineer Wylio;
- circumvent security controls;
- abuse APIs;
- overload infrastructure;
- scrape Wylio without authorization;
- distribute unlawful content;
- send spam;
- violate third-party policies;
- interfere with other customers;
- manipulate communication systems;
- evade platform enforcement; or
- conduct activities that create unreasonable risk to Wylio or others.
Wylio may suspend or terminate accounts involved in prohibited activities.
- API ACCESS AND DEVELOPER SERVICES
Wylio may provide APIs, webhooks, API keys, tokens and other developer functionality.
Customers are responsible for:
- protecting API credentials;
- limiting access;
- configuring authentication;
- monitoring API use;
- preventing unauthorized access;
- respecting rate limits;
- preventing abusive traffic; and
- securing systems connected to Wylio.
You must not use Wylio APIs to:
- circumvent access controls;
- attack infrastructure;
- conduct unauthorized scraping;
- create abusive traffic;
- reverse engineer protected functionality; or
- interfere with the Services.
Wylio may impose rate limits or suspend API access where reasonably necessary.
- THIRD-PARTY INTEGRATIONS
Wylio may integrate with third-party services.
These may include:
- Meta;
- WhatsApp;
- Google;
- payment providers;
- cloud providers;
- CRM systems;
- advertising platforms;
- AI providers;
- email providers;
- telecommunications providers; and
- other third parties.
Third-party services operate under their own terms.
Wylio does not control third-party:
- availability;
- pricing;
- security;
- APIs;
- policies;
- account decisions;
- data practices;
- uptime;
- performance; or
- changes.
- THIRD-PARTY OUTAGES
Wylio may depend upon third-party infrastructure.
Services may become unavailable because of:
- Meta outages;
- WhatsApp outages;
- telecommunications failures;
- cloud infrastructure failures;
- payment gateway outages;
- DNS failures;
- internet failures;
- API changes;
- provider maintenance;
- rate limiting;
- security incidents; or
- circumstances beyond Wylio’s reasonable control.
Wylio will use reasonable efforts to restore affected functionality but does not guarantee uninterrupted operation.
- PRICING CHANGES
Wylio may change:
- platform charges;
- PAYG rates;
- wallet requirements;
- commercial models;
- Founder Model availability;
- Enterprise pricing;
- features;
- usage rules; or
- other commercial terms.
Material pricing changes may be communicated through the website, dashboard, application, email, commercial communication or other reasonable means.
Third-party prices may change independently of Wylio.
- TAXES
Unless expressly stated otherwise, applicable taxes, duties, levies or government charges may be payable by the customer in accordance with applicable law.
The customer is responsible for providing accurate billing and tax information where required.
- PAYMENTS
Payments must be made using payment methods supported by Wylio or its payment providers.
Payment providers may impose their own:
- terms;
- verification requirements;
- transaction restrictions;
- processing fees; or
- security procedures.
Wylio may suspend chargeable Services where:
- required payment has not been received;
- wallet balance is insufficient;
- payment is reversed;
- fraud is suspected;
- chargeback activity occurs; or
- payment information is invalid.
- REFUNDS
Refunds are governed by the Wylio Refund Policy.

- PAYG activation;

- Founder Model purchases;
- Enterprise agreements;

- CANCELLATION
PAYG does not generally require cancellation of a recurring monthly subscription.
A customer may stop using Wylio subject to:
- outstanding payments;
- wallet rules;
- applicable refunds;
- contractual obligations;
- third-party obligations; and
- data-retention requirements.
Founder and Enterprise customers may have additional contractual terms.
- INTELLECTUAL PROPERTY
Wylio and its licensors retain all rights in:
- Wylio software;
- website;
- applications;
- source code;
- architecture;
- APIs;
- designs;
- interfaces;
- documentation;
- logos;
- trademarks;
- branding;
- product names;
- visual assets;
- proprietary systems; and
- platform technology.
You may not, without authorization:
- copy;
- reproduce;
- resell;
- redistribute;
- sublicense;
- reverse engineer;
- decompile;
- extract;
- republish;
- modify; or
- create derivative works from Wylio’s proprietary technology.
- CONFIDENTIALITY
Where confidential information is exchanged between Wylio and a customer, each party should use reasonable measures to protect confidential information.
Confidential information may include:
- business information;
- commercial terms;
- credentials;
- technical information;
- security information;
- product information;
- non-public documentation; and
- other information reasonably understood to be confidential.
This section does not restrict information that is:
- publicly available;
- independently developed;
- lawfully obtained from another source; or
- required to be disclosed by law.
- SERVICE AVAILABILITY
Wylio aims to provide reliable and secure Services.
However, Wylio does not guarantee:
- uninterrupted availability;
- zero errors;
- continuous API availability;
- uninterrupted third-party connectivity;
- delivery of every communication;
- uninterrupted automation;
- uninterrupted AI functionality; or
- availability of every feature indefinitely.
Services may be unavailable due to maintenance, upgrades, security incidents, infrastructure failures, internet failures, third-party outages, API changes, force majeure events or other circumstances beyond reasonable control.
- ACCOUNT SUSPENSION
Wylio may suspend, restrict or terminate an account where reasonably necessary, including where:
- these Terms are violated;
- law is violated;
- third-party policies are violated;
- fraud is suspected;
- unauthorized access is suspected;
- payment obligations are not satisfied;
- wallet requirements are not satisfied;
- security risks exist;
- abusive activity occurs;
- communication platforms restrict the account;
- Wylio faces material legal or regulatory risk; or
- the account is used for prohibited activities.
Immediate suspension may occur where necessary to protect Wylio, customers, third parties or infrastructure.
- EFFECT OF TERMINATION
Upon termination:
- access to Wylio may end;
- certain functionality may become unavailable;
- outstanding payment obligations remain payable;
- contractual obligations may survive;
- intellectual-property provisions survive;
- liability provisions survive;
- indemnification provisions survive; and
- applicable data-retention obligations continue.
Data deletion and retention will be handled according to applicable law, the Privacy Policy and Wylio’s applicable data-deletion procedures.

Deletion requests may be subject to:
- legal requirements;
- accounting requirements;

Wylio will use reasonable measures intended to protect the Services and information processed through them.
However, no internet-based system can be guaranteed to be completely secure.
Customers are responsible for maintaining security of:
- account credentials;
- passwords;
- API keys;
- tokens;
- connected Meta accounts;
- connected third-party accounts;
- employee access;
- administrator accounts; and
- devices used to access Wylio.
Customers should immediately notify Wylio of suspected security incidents affecting their Wylio account.
- CUSTOMER BUSINESS RESPONSIBILITY
Wylio is a technology provider.
Wylio does not assume responsibility for:
- the customer’s products;
- services;
- advertisements;
- claims;
- pricing;
- offers;
- sales practices;
- customer-support practices;
- regulatory compliance;
- customer consent;
- customer relationships;
- business results; or
- revenue generated through the Services.
The customer remains solely responsible for its business operations.
- NO GUARANTEE OF BUSINESS RESULTS
Wylio provides technology intended to support business communication, automation and growth.
Wylio does not guarantee:
- leads;
- sales;
- conversions;
- revenue;
- customer acquisition;
- campaign performance;
- engagement;
- response rates;
- appointment bookings;
- ROI;
- advertising performance; or
- any particular business outcome.
- LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, Wylio will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, including:
- loss of profits;
- loss of revenue;
- loss of business;
- loss of opportunities;
- loss of goodwill;
- loss of data;
- business interruption;
- communication failures;
- third-party account suspension;
- third-party API failures;
- third-party pricing changes;
- Meta or WhatsApp restrictions;
- advertising losses; or
- failures caused by third-party providers.
To the extent permitted by applicable law, Wylio’s aggregate liability will be limited to the amount actually paid by the customer to Wylio for the applicable Services during the applicable period specified by law or the applicable agreement.
Nothing in these Terms excludes liability that cannot legally be excluded.
- INDEMNIFICATION
You agree to indemnify and hold harmless Wylio, its proprietor, personnel, contractors and service providers against claims, losses, liabilities, damages, costs and reasonable legal expenses arising from:
- your use of Wylio;
- your violation of these Terms;
- your violation of applicable law;
- your violation of Meta or WhatsApp policies;
- your communications;
- your customer data;
- your content;
- your campaigns;
- your automations;
- your AI configurations;
- your misuse of the Services;
- your violation of another person’s rights; or
- your business activities.
- FORCE MAJEURE
Wylio will not be responsible for delays or failures caused by circumstances beyond its reasonable control.
Such circumstances may include:
- natural disasters;
- war;
- terrorism;
- governmental action;
- internet failures;
- telecommunications failures;
- cloud outages;
- cyber incidents;
- third-party outages;
- API changes;
- infrastructure failures;
- strikes;
- power failures; or
- other events beyond reasonable control.
- THIRD-PARTY TERMS TAKE PRECEDENCE FOR THIRD-PARTY SERVICES
Where a third-party platform requires the customer to accept separate terms, those terms may apply directly to the customer’s use of that third-party platform.
This is particularly relevant to services such as WhatsApp, Meta, telecommunications, payment providers, advertising platforms, AI providers and other integrated services.
The customer remains responsible for reviewing and complying with applicable third-party terms.
- CHANGES TO THESE TERMS
Wylio may update these Terms from time to time.
Changes may be communicated through:
- the Wylio website;
- dashboard;
- application;
- email;
- commercial communications; or
- other reasonable means.
The updated Terms will state the applicable effective date.
Continued use of Wylio after the effective date constitutes acceptance of the updated Terms to the extent permitted by applicable law.
- GOVERNING LAW
These Terms are governed by and interpreted according to the laws of India.
Subject to applicable mandatory law and the dispute-resolution provisions below, disputes shall be subject to the jurisdiction of the competent courts in:

- order forms;
- Enterprise agreements;
- statements of work; and
- other agreements expressly incorporated by reference
constitute the agreement between you and Wylio concerning the Services.
Where a separate written agreement exists between Wylio and an Enterprise or other customer, that agreement will prevail to the extent expressly stated.
